Terms of Use
Last updated October 12, 2026
Agreement to these terms
We are Jumping Ahead, Inc. ("Company", "we", "us", "our"), a Florida corporation, with our address at 4281 Express Ln Ste L7283, Sarasota, FL 34238, United States. We publish under the name Warm Wisdom Press. You can reach us at support@jumpingahead.com.
We make Valuist (the "App"), a free daily planner for iPhone and Android devices, and we operate the website at https://valuistapp.com (the "Site"). The App, the Site and any related services that link to these terms are together the "Services".
These Terms of Use (the "Terms") are a legally binding agreement between you and us. By downloading, installing, opening or using the App, or by using the Site, you agree to these Terms and to our Privacy Policy, which is part of them.
IF YOU DO NOT AGREE WITH THESE TERMS, DO NOT USE THE SERVICES.
Section 15 contains a binding arbitration agreement and a class-action waiver. It affects how disputes between you and us are resolved. You can opt out of it within 30 days, as explained there.
1. What Valuist is
Valuist is a daily planner built on the Ivy Lee method: each day you choose a small number of tasks that matter most, put them in order, and work through them in that order. Unfinished tasks wait in a drawer. The App also offers projects, value tags, repeating and future-dated tasks, planning reminders, weekend lists, quiet days of rest and religious holidays, and on-device planning suggestions ("Plan my day").
- Completely free. The App is free. There are no purchases, subscriptions or in-app payments of any kind.
- No account, no advertising, no tracking. You do not create an account. The App shows no advertisements and contains no advertising, analytics or tracking software.
- Your data stays with you. Everything you enter is stored on your device and, if your phone is set up for it, in your own iCloud or Google account backup. We do not operate servers that receive it. See the Privacy Policy.
2. Who may use the Services
Everyone may use the Services. If you are under the age of majority where you live (18 in most places), you may use the Services only with the involvement of a parent or legal guardian, who agrees to these Terms on your behalf.
You may not use the Services if you are located in a country subject to a U.S. government embargo or are on a U.S. government list of prohibited or restricted parties.
3. A planning tool, not advice
The App helps you organize your own work. It does not decide what is important in your life, and it is not professional, financial, legal, medical, psychological, religious or other advice. You are responsible for the tasks you choose, the order you do them in, and the consequences of doing or not doing them. Do not rely on the App for anything where a missed task or reminder could cause harm, such as taking medication, legal or financial deadlines, or safety-critical duties.
Reminders. Reminders are scheduled by your phone's operating system. They may not appear if notifications are turned off, if the phone is off, in a power-saving or focus mode, or for other reasons outside our control.
Days of rest and religious holidays. The App calculates holiday dates with published calendar rules and, for some calendars, tables or calculations that may differ from local practice (for example, by moon sighting or region). The App lets you adjust them. Check dates that matter to you with your own community or authority. The App's quiet-day features are a convenience and do not represent any religious ruling.
4. On-device planning suggestions
"Plan my day" and step suggestions are produced by the artificial-intelligence model built into your phone (Apple Intelligence on iPhone, Gemini Nano on Android), which is provided by Apple or Google and not by us. These features are available only on supported phones, in supported languages and when the feature is turned on in your phone's settings, and Apple or Google may change or withdraw them.
Suggestions are generated by a machine. They may be inaccurate, incomplete or unsuitable, and they do not reflect our views. You see each suggestion before it is saved and you decide whether to accept, change or reject it. Your use of these features is also subject to Apple's or Google's terms for them.
5. Your data and backups
You own the content you put in the App. Because it is stored on your device and in your own backup, you are responsible for keeping it. We cannot recover data that is lost when a device is lost, damaged, reset or replaced, when the App is uninstalled, when a backup is turned off or replaced, or when you use Delete all data or import a file over your existing data. Backups to iCloud and Google accounts are provided by Apple and Google under their terms, and we do not control whether or when they run.
If you export an encrypted copy, keep the passphrase safe. No one, including us, can open an export file without its passphrase.
6. Your license to use the App
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install and use the App on devices you own or control, for your own use, and in line with the usage rules of the store you got it from. You may use the App to plan your work as well as your personal life.
You may not, and may not help anyone else to:
- copy, modify, translate, adapt or create derivative works of the App, except as the law expressly allows;
- decompile, disassemble, reverse engineer or try to derive the source code of the App, except to the extent the law expressly permits despite this restriction;
- sell, rent, lend, lease, sublicense or distribute the App;
- remove, alter or obscure any copyright, license, trademark or other notice; or
- use the Services in any way that breaks the law or interferes with their operation, including by overloading or scraping the Site.
7. Intellectual property
The Services and everything in them that we created, including the software, design, text, graphics and the names and logos "Valuist" and "Warm Wisdom Press" (the "Content" and "Marks"), are owned by us or our licensors and are protected by copyright, trademark and other laws in the United States and around the world. All rights not expressly granted to you are reserved. The App includes open-source software and fonts, which are licensed under their own terms; nothing in these Terms limits your rights under those licenses.
The Ivy Lee method is a well-known productivity practice in the public domain. We do not claim to own it, and the App is not affiliated with or endorsed by Ivy Lee's estate or any organization connected with him.
If you send us suggestions or feedback, we may use them without any obligation to you.
Copyright complaints
We respect the intellectual property of others. If you believe material in the Services infringes a copyright you own or control, send a notice to our Designated Copyright Agent that meets the requirements of the Digital Millennium Copyright Act, 17 U.S.C. § 512(c)(3): a physical or electronic signature of a person authorized to act for the copyright owner; identification of the copyrighted work; identification of the material claimed to be infringing, with enough information for us to locate it; your name, address, telephone number and email address; a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; and a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act for the copyright owner.
Designated Copyright Agent: David LeVine, Jumping Ahead, Inc., Attn: Copyright Agent, 4281 Express Ln Ste L7283, Sarasota, FL 34238, United States, legal@jumpingahead.com.
8. App stores
These terms apply when you got the App from the Apple App Store or Google Play (each an "App Store"):
- These Terms are between you and us only, not the App Store. We, not the App Store, are solely responsible for the App and its content.
- Your license is limited to use on a device that runs the App Store's operating system and that you own or control, as permitted by the App Store's usage rules. On the Apple App Store, those are the Usage Rules in the Apple Media Services Terms and Conditions, and the App may also be used by other accounts associated with you through Family Sharing.
- We alone are responsible for any maintenance and support of the App, as described in these Terms or as required by law. The App Store has no obligation to provide maintenance or support.
- If the App fails to conform to any applicable warranty, you may notify the App Store, and the App Store may refund the purchase price, if any, you paid for the App. Because the App is free, no purchase price applies. To the maximum extent the law permits, the App Store has no other warranty obligation with respect to the App.
- We, not the App Store, are responsible for addressing any claims by you or a third party relating to the App or your possession and use of it, including product liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, and claims under consumer protection, privacy or similar legislation.
- If a third party claims that the App or your possession and use of it infringes that party's intellectual property rights, we, not the App Store, are solely responsible for the investigation, defense, settlement and discharge of that claim.
- You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.
- You must comply with applicable third-party terms, such as your wireless data service agreement, when using the App.
- Questions, complaints or claims about the App go to us, at the contact details in Section 21.
- The App Store and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, the App Store has the right (and is deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
- If these Terms conflict with the App Store's own terms on a point those terms require, the App Store's terms govern that point.
9. Third-party services
The Services rely on services and software from others, including Apple (the App Store, iCloud and Apple Intelligence), Google (Google Play, Android backup, ML Kit and Gemini Nano), your phone's keyboard and our website host. Your use of them is governed by their own terms and privacy policies, and we are not responsible for them. The Services may link to other websites; we are not responsible for their content or practices, and a link is not an endorsement.
10. Changes to the Services and to these Terms
We may change, update, suspend or discontinue any part of the Services, including features, at any time. We are not obliged to provide updates, but when we do, these Terms apply to them.
We may change these Terms. When we do, we will update the "Last updated" date above, and if a change is material we will give reasonable notice, for example on the Site or in the App, before it takes effect. If you keep using the Services after a change takes effect, you accept the changed Terms. If you do not agree, stop using the Services.
11. Ending these Terms
These Terms apply for as long as you use the Services. You may stop at any time by uninstalling the App. Uninstalling removes the data stored on your device, but not any backup in your own iCloud or Google account; use Settings → Your data → Delete all data first if you want both removed.
We may stop offering the Services, or any part of them, at any time. Sections 3, 5, 7 and 12 through 21 survive the end of these Terms.
12. Provided "as is"
THE SERVICES ARE PROVIDED FREE OF CHARGE, "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE MAKE NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY AND NON-INFRINGEMENT.
IN PARTICULAR, WE DO NOT WARRANT THAT THE SERVICES WILL MAKE YOU MORE PRODUCTIVE OR ACHIEVE ANY PARTICULAR RESULT; THAT PLANNING SUGGESTIONS, HOLIDAY DATES OR REMINDERS WILL BE ACCURATE, TIMELY OR DELIVERED; THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT YOUR DATA, BACKUPS OR EXPORTED FILES WILL NOT BE LOST OR DAMAGED; OR THAT THE SERVICES WILL BE COMPATIBLE WITH YOUR DEVICE. YOU USE THE SERVICES AT YOUR OWN DISCRETION AND RISK.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OPPORTUNITY OR GOODWILL, OR FOR ANY MISSED TASK, DEADLINE OR APPOINTMENT, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
BECAUSE THE SERVICES ARE FREE, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO FIFTY U.S. DOLLARS (US $50).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, such as liability for death or personal injury caused by negligence, or for fraud. Some jurisdictions do not allow these limitations, so some of them may not apply to you, and you may have additional rights.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless us and our officers, directors, employees and agents from any third-party claim, and related loss, liability and reasonable attorneys' fees, arising from your breach of these Terms or your violation of any law or of the rights of a third party.
15. Dispute resolution and arbitration
Please read this section carefully. It requires disputes to be resolved individually by binding arbitration rather than in court, and it waives class actions and jury trials.
Talk to us first. Most problems can be solved quickly by email. Before starting arbitration or a court case, the party with the dispute must send the other a written notice describing it and the relief sought (to us at legal@jumpingahead.com), and both parties will try in good faith to resolve it informally for at least 30 days.
Binding arbitration. If the dispute is not resolved within 30 days, any dispute, claim or controversy arising out of or relating to these Terms or the Services (a "Dispute") will be resolved exclusively by final and binding individual arbitration, except as stated below under "Exceptions". YOU UNDERSTAND THAT, WITHOUT THIS SECTION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
Provider and rules. The arbitration will be administered by New Era ADR (https://www.neweraadr.com) as a Virtual Expedited Arbitration under the New Era ADR Rules and Procedures in effect when the arbitration is started (the "Rules"), except as this Section 15 provides otherwise. It will be decided by a single arbitrator, in English. The arbitrator may award the same individual relief a court could, and must follow the law and these Terms.
Papers only, 20 pages. The arbitration will be decided solely on written submissions and documents, with no live, in-person, telephone or video hearing of any kind, notwithstanding any provision of the Rules that would otherwise call for one. Each party's written submissions, taken together, may not exceed 20 pages, not counting documentary exhibits.
Costs. Fees are payable under the New Era ADR Fee Schedule. Your share of any filing fee will not exceed the lower of US $300 and the amount you would pay to file your claim in court; we will pay the rest of the filing fee and all other New Era ADR case fees and arbitrator fees, unless the arbitrator finds your claim frivolous or brought for an improper purpose, in which case the arbitrator may reallocate fees as the Rules allow.
Mass arbitration. If 25 or more similar claims are brought against us by the same or coordinated counsel, they will be administered under the Mass Arbitration procedures in the Rules, and limitations periods are tolled for claims that are held while those procedures run.
Class-action waiver. YOU AND WE MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person or preside over any form of class or representative proceeding. If this waiver is found unenforceable for a particular claim, that claim (and only that claim) will be severed and heard in court, after the individual arbitration of any other claims.
Exceptions. Either of us may (a) bring an individual claim in small claims court if it qualifies; and (b) go to court to seek an injunction or other equitable relief to protect intellectual property rights, or to stop unauthorized access to or misuse of the Services.
Opt-out. You may opt out of this arbitration agreement by emailing legal@jumpingahead.com within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your name. Opting out does not affect any other part of these Terms.
Time limit. To the extent permitted by law, a Dispute must be started within one year after it arose, or it is permanently barred.
Changes to this section. If we change this Section 15, the change will not apply to a Dispute of which we had actual notice before the change took effect.
Courts. If a Dispute proceeds in court rather than arbitration, it will be brought exclusively in the state or federal courts located in Sarasota County, Florida, and you and we consent to the personal jurisdiction of those courts. This does not deprive a consumer of the protection of the mandatory laws or courts of the country where the consumer lives.
European Union and United Kingdom. If you live in the European Union or the United Kingdom, this Section 15 does not apply to you, and you may bring a claim in the courts where you live.
16. Governing law
These Terms and any Dispute are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, and by the U.S. Federal Arbitration Act for Section 15. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer living outside the United States, you also keep the protection of any mandatory provisions of the law of your country of residence.
17. Electronic communications
You agree that we may give you notices, disclosures and other communications electronically, including on the Site, in the App or by email if you have written to us, and that these satisfy any legal requirement that communications be in writing.
18. California residents
Under California Civil Code § 1789.3, California users are entitled to the following notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.
19. Translations of these Terms
We may provide these Terms in languages other than English for your convenience. The English version is the binding version; if a translation differs from it, the English version prevails.
20. General
These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Services and replace any earlier agreement on that subject. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the rest of these Terms will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets, or to an affiliate. We are not liable for any failure or delay caused by events beyond our reasonable control. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship. Headings are for convenience only, and "including" means "including without limitation".
